Terms and Conditions
Completion of Work
The work will be completed within specific period from the date of implementation. Implementation will begin within specific period of receiving the down payment and an official Purchase Order (P.O.).
SANA reserves the right to suspend or delay work due to force majeure events or circumstances beyond its reasonable control, such as natural disasters, war, or regulatory restrictions.
Pricing Basis
Prices are based on the complete order. Partial orders may incur price adjustments.
Payment
The client must adhere to the agreed payment schedule. Delays exceeding a 5-day grace period may result in suspension of work, and the client will bear all associated costs and damages.
SANA may suspend project work if the client delays payment. SANA can claim financial compensation for the delay, including workers’ wages, Transportation allowances and airfare, housing, equipment, and vehicle rental, and other expenses incurred due to late payment.
Invoices for these expenses will be issued subsequently.
Order Cancellation
Once an order is confirmed by the customer and processed, cancellations are not acceptable. SANA reserves the right to charge the customer for any costs incurred at its discretion.
Scope Adjustments and Variations
1. Adjustments in scope, quantity, or specifications may result in changes to pricing and delivery schedules.
2. Any variation in quantities or technical requirements must be agreed upon before implementation.
Acceptance of Work
Completion of any work or delivery, the client must inspect and accept the deliverables. For product deliveries, the client's signature on the Delivery Note acknowledges receipt of the product. The client must sign the Certificate of Completion within one week after completion of work to confirm their acceptance; otherwise, it will be considered as implied acceptance.
Order Acknowledgement
Both parties confirm that the pricing and the technical specification have already been submitted, agreed and approved.
Sending an official Purchase Order (P.O.) from the customer constitutes an official contract and approval of our quotation, including all terms and conditions stated herein.
General Conditions for All Scopes
1. Supplying Scope:

Products are delivered to the client’s site without unloading or lifting unless explicitly agreed otherwise.

Secure storage must be provided for all delivered materials.

The client is required to accept the delivery of the products within a maximum period of 2 weeks from the agreed-upon delivery date. Any delay beyond this timeframe may result in the non-completion of product delivery.

SANA assumes no liability for loss, damage, or consequential damage due to manufacturing or shipping delays. SANA shall be excused for any delay in performance or delivery due to acts of God, war, terrorism, riot, embargoes, acts of civil or military authorities, accidents, quarantine restrictions, delays in obtaining necessary permits for site access to commence work, or any circumstance or cause beyond the control of SANA`s in the reasonable conduct of its business.
2. Contracting Scope:

The client must ensure site readiness, including utilities, access, and any other conditions required for smooth execution of work.
Any delays caused by the client will result in a proportional extension of project timelines and may incur additional costs.

SANA shall be excused for any delay in performance or delivery due to acts of God, war, terrorism, riot, embargoes, acts of civil or military authorities, accidents, quarantine restrictions, delays in obtaining necessary permits for site access to commence work, or any circumstance or cause beyond the control of SANA`s in the reasonable conduct of its business.

The client is liable for damages caused by site-related conditions such as weak infrastructure, access issues, or other factors beyond SANA's control.

SANA reserves the right to hold work if the site poses a risk to workers or equipment, without liability for delays.
Warranty Period
The warranty covers a period depends on the scope of the project starting either from the date of signing the delivery note or, in the case of installation and commissioning, from the date of product operation. If the warranty begins after installation and commissioning, the customer is required to complete the installation and operation within specific period of delivery. If the customer delays installation and operation beyond this period, the warranty will commence two weeks after the delivery date. The warranty applies exclusively to issues related to the quality of the product or service provided, as well as manufacturing defects and performance issues.
Scope of the Warranty
Product Supply: Correction of defects that appear in the materials or equipment supplied during the specified warranty period. SANA will repair the defect, replace the defective part, or replace the entire product, as deemed appropriate in accordance with SANA policy.
Installation Services: Resolution of any defects that appear in the provided service during the specified warranty period. SANA will correct defects in installation or performance as deemed appropriate in accordance with SANA policy.
Exclusions
1.Product Warranty Exclusions:
This warranty does not cover defects or damages arising from the following and does not include any consequential damages or breaches of any express or implied warranties for products or services:
•Physical or mechanical damage resulting from third-party interference.
•Neglect in the use or handling of products or services.
• Accidents, misuse, or improper handling of the equipment or services provided.
•If SANA is not responsible for operating the equipment. This warranty does not cover errors arising from the commissioning or operation of the equipment or services provided. Any issues resulting from improper installation, misapplication, unauthorized modifications, or failure to adhere to the provided operational guidelines and maintenance requirements shall not be the responsibility of SANA. The client assumes full liability for such errors and their resulting consequences.
•Exposure to harsh operating conditions that exceed the safe design limits or agreed service scope.
•Natural disasters, accidents, fires, or explosions.
•Improper operation or maintenance that does not comply with the operation manual and provided guidelines.
•Unauthorized repairs or modifications that violate design standards, safety requirements, or quality specifications.
•Harsh operating conditions exceeding design specifications or agreed scope.
2.Installation Warranty Exclusions
The installation warranty does not cover:

Improper operation or commissioning of the installed equipment, unless performed by SANA Engineering.

Installation defects caused by third-party interference.

Modifications or alterations made without prior authorization from SANA Engineering.

Damage resulting from the client’s failure to follow provided guidelines for equipment use or maintenance.

If SANA is not responsible for operating the equipment .This warranty does not cover errors arising from the commissioning or operation of the equipment or services provided. Any issues resulting from improper installation, misapplication, unauthorized modifications, or failure to adhere to the provided operational guidelines and maintenance requirements shall not be the responsibility of SANA. The client assumes full liability for such errors and their resulting consequences.
Warranty Limitations

The warranty does not cover any consequential or incidental damages or losses that may arise due to a product defect or service failure.

The warranty is limited to repairing the product, correcting the service, or replacing it as per SANA policy.

Losses resulting from any of the above exclusions are explicitly excluded from this warranty.
SANA Engineering shall bear no liability for direct, special, incidental, or consequential damages arising from any warranty violation or terms breach.
Confirmation of Agreement
The client's signature on this quotation is considered an official contract and approval of our offer with all its terms and conditions.
